Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are a legal agreement between you ("User," "you," or "your") and Plotted ("Plotted," "we," "us," or "our") governing your access to and use of the Plotted application available at useplotted.ai (the "Service").

By creating an account, clicking "I agree," or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you are using Plotted on behalf of an organization (such as a marketing agency), you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you and that organization.

2. Description of Service

Plotted is an AI-powered content planning tool that helps users:

• Create and manage up to 5 brand workspaces
• Generate AI-powered brand profiles by analyzing website content and Google Business reviews
• Generate 4-month content plans with AI-written captions, topics, and image prompts
• Generate AI background images and carousel slide designs
• Organize and edit content in a drag-and-drop calendar interface
• Export content plans as CSV files and image ZIP archives

Plotted is a planning tool only. It does not publish content to any social media platform. It does not connect to Instagram, LinkedIn, TikTok, Facebook, X, or any other social network. It does not provide analytics on published posts.

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 16 years old to use Plotted. By creating an account, you represent that you are at least 16 years of age. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms.

3.2 Account registration

To use Plotted you must create an account using a valid email address and password, or by authenticating via Google OAuth. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account credentials
• Promptly notify us of any unauthorized use of your account at support@useplotted.ai
• Accept responsibility for all activities that occur under your account

We reserve the right to refuse registration or cancel accounts at our discretion.

3.3 One account per user

Each user may maintain one account. Creating multiple accounts to circumvent plan limits or restrictions is prohibited and may result in termination of all associated accounts.

4. Brand Workspaces and the 5-Brand Limit

The Service allows each account to maintain up to 5 brand workspaces simultaneously. This limit is enforced at the application level.

You may delete existing brand workspaces to make room for new ones. Deleted brand workspaces and all associated content plans, posts, and generated images are permanently deleted and cannot be recovered.

Each brand workspace is intended to represent a single brand or client. Creating multiple workspaces for the same brand to circumvent limits or generate excessive AI content is prohibited.

5. Your Content and Our Content

5.1 Content you provide

"Your Content" means any information, text, URLs, or context you submit to Plotted, including brand names, website URLs, Google Business names, and any additional brand context you provide. You represent and warrant that:

• You own or have the necessary rights to submit Your Content to Plotted
• You have the right to authorize Plotted to fetch and analyze website content and Google reviews on your behalf
• Your Content does not violate any applicable law, infringe any third-party rights, or violate these Terms
• You are not submitting confidential information of third parties without their authorization

5.2 AI-generated output

"Generated Content" means brand profiles, captions, content plans, topics, image prompts, background images, and carousel designs produced by the Service's AI systems based on Your Content.

Ownership: Subject to your compliance with these Terms and payment of applicable fees, Plotted assigns to you all rights, title, and interest in the Generated Content produced for your account. You own your content plans and generated images.

No guarantee of uniqueness: Because Plotted generates content using AI models for many users, Generated Content is not guaranteed to be unique. Other users may receive similar or identical AI-generated output. Plotted makes no representations about the uniqueness, originality, or trademark availability of Generated Content.

Review before use: You are responsible for reviewing all Generated Content before publishing or distributing it. Plotted is a drafting tool, not a publisher. You bear sole responsibility for the content you ultimately post publicly.

5.3 License you grant us

By submitting Your Content to Plotted, you grant us a limited, non-exclusive, royalty-free license to access, store, process, and transmit Your Content solely for the purpose of providing the Service to you. This license ends when you delete Your Content or your account.

We do not use your brand content, captions, or Generated Content to train AI models.

6. Acceptable Use

6.1 Permitted uses

You may use Plotted to plan and generate content for brands and clients you represent, for any lawful commercial or personal purpose.

6.2 Prohibited uses

You agree not to use Plotted to:

• Generate content that is defamatory, fraudulent, deceptive, or intentionally misleading
• Generate content that infringes the intellectual property rights of any third party
• Generate hate speech, harassment, or content that promotes violence or discrimination
• Generate content that violates any applicable law or regulation, including advertising standards and disclosure requirements
• Submit website URLs or Google Business profiles belonging to competitors or third parties without their permission, for competitive intelligence gathering
• Attempt to reverse engineer, decompile, or extract the underlying AI prompts or models used by Plotted
• Use automated scripts, bots, or scrapers to interact with the Service
• Attempt to exceed the 5-brand workspace limit through technical means
• Resell, sublicense, or offer the Service as a white-label product to third parties without a written agreement with Plotted
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Use the Service in any way that could expose Plotted to legal liability

6.3 Third-party platform compliance

When you use Generated Content on social media platforms, you are solely responsible for complying with those platforms' terms of service, community guidelines, and advertising policies. Plotted does not connect to those platforms and has no ability to enforce or monitor compliance on your behalf.

You are also responsible for complying with applicable advertising disclosure requirements (such as FTC disclosure rules in the United States) when posting AI-assisted content.

7. AI Limitations and Disclaimers

Plotted uses AI systems to generate content. By using the Service you acknowledge and accept the following inherent limitations of AI-generated content:

• Accuracy: AI-generated brand profiles, captions, and content may contain factual errors, inaccuracies, or statements inconsistent with your brand. You must review all output before use.
• Originality: AI systems may generate content similar to content generated for other users or similar to content that exists on the internet. Plotted does not guarantee that Generated Content is original, unique, or free from similarity to existing works.
• Tone and voice: While Plotted attempts to match your brand voice, AI systems may produce content that feels off-brand. Brand profiles and captions require human review and editing.
• Image content: AI-generated images may occasionally contain unexpected or unintended elements. Review all images before use.
• No legal, medical, or financial advice: Generated Content does not constitute professional advice of any kind. Do not use Plotted to generate legally sensitive content (such as medical claims, financial advice, or legal statements) without independent professional review.

8. Plans, Payment, and Cancellation

8.1 Current availability

Plotted is currently available in a free pilot period. Paid subscription plans will be introduced at a future date. We will provide at least 30 days notice before any free features become paid.

8.2 When billing is introduced

When paid plans are activated, the following terms will apply:

• Subscription fees are billed monthly or annually in advance
• All fees are in USD and are non-refundable except as required by law or as described in our refund policy
• We will provide at least 14 days notice of any price changes
• Failure to pay may result in suspension or termination of your account
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period

8.3 Refund policy

If Plotted is unavailable for more than 24 consecutive hours in any billing month due to our technical failure (not including scheduled maintenance or third-party outages), you may request a pro-rated credit for that period. Contact support@useplotted.ai within 14 days of the incident.

9. Third-Party Services

Plotted integrates with third-party services to deliver the Service, including Anthropic (AI text generation), Replicate (image generation), Placid (carousel rendering), and Google Maps Platform (business reviews). Your use of these integrations is also subject to those providers' terms of service and privacy policies.

Plotted is not responsible for the availability, accuracy, content, or policies of third-party services. Outages or changes to third-party APIs may affect Service availability or functionality.

Specifically regarding AI providers: Anthropic, Replicate, and other AI model providers may update, change, or discontinue their models at any time. This may affect the quality or nature of Generated Content. Plotted will use commercially reasonable efforts to maintain service quality but cannot guarantee consistency of AI output across model updates.

10. Intellectual Property

10.1 Plotted's intellectual property

The Plotted application, including its source code, design, user interface, brand prompts, brand learning algorithms, and all Plotted-owned content, is the exclusive intellectual property of Plotted and is protected by copyright, trademark, and other applicable laws.

"Plotted," "useplotted.ai," and the Plotted lightning bolt logo are trademarks of Plotted. You may not use these marks without our prior written consent.

10.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Plotted a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, including improving the Service, without any obligation to you.

11. Privacy

Your use of Plotted is subject to our Privacy Policy, available at useplotted.ai/privacy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

12. Disclaimers and Limitation of Liability

12.1 Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLOTTED EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED CONTENT.

We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) AI-generated content will be accurate, complete, or suitable for your intended use; (c) the Service will meet your specific requirements; or (d) defects will be corrected.

12.2 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLOTTED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, REPUTATIONAL HARM, OR DAMAGE ARISING FROM YOUR USE OF AI-GENERATED CONTENT, EVEN IF PLOTTED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall Plotted's total liability to you for all claims arising from or relating to these Terms or the Service exceed the greater of: (a) the total amount you paid to Plotted in the 12 months preceding the claim, or (b) CAD $100.

12.3 Indemnification

You agree to indemnify, defend, and hold harmless Plotted and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) Your Content; (c) your use of Generated Content; (d) your violation of these Terms; or (e) your violation of any third-party rights.

13. Termination

13.1 Termination by you

You may close your account at any time through Account Settings → Delete Account. Upon deletion, your data will be permanently erased within 30 days as described in our Privacy Policy.

13.2 Termination by us

We may suspend or terminate your account immediately and without notice if:

• You breach any provision of these Terms
• We determine, in our sole discretion, that your use of the Service poses a risk to Plotted, other users, or third parties
• You engage in fraudulent or illegal activity
• Required to do so by law or a regulatory authority

We may also terminate the Service entirely with 30 days written notice to all users.

13.3 Effect of termination

Upon termination, your right to access the Service immediately ceases. Sections 5.2 (Generated Content ownership), 10, 11, 12, and 14 of these Terms survive termination.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising from these Terms or the Service that cannot be resolved informally shall be submitted to binding arbitration in Toronto, Ontario, Canada, administered under the ADRIC Arbitration Rules, before a single arbitrator. The arbitration shall be conducted in English. The arbitrator's award is final and binding and may be entered as a judgment in any court of competent jurisdiction.

Notwithstanding the above, either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm. Nothing in this section prevents you from bringing a claim in small claims court if the amount in dispute qualifies.

If you are located in the EU, you also have the right to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

15. General Provisions

• Entire agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Plotted regarding the Service and supersede all prior agreements.
• Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
• No waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of our assets.
• Force majeure: Plotted is not liable for any failure to perform due to circumstances beyond our reasonable control, including internet outages, third-party API failures, natural disasters, or acts of government.
• Language: These Terms are written in English. If translated into another language, the English version controls in the event of any conflict.

16. Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will notify you by email at least 14 days before the changes take effect and update the "Last updated" date at the top of this page.

If you do not agree with the modified Terms, you must stop using the Service and may delete your account before the effective date of the changes. Your continued use of the Service after the effective date constitutes your acceptance of the modified Terms.
